Commercial Law

Turkish commercial law is a specialized branch of law that regulates commercial activities, and its primary source is the Turkish Commercial Code, numbered 6102. This code covers all fundamental subjects such as the definition of a merchant, companies (joint-stock, limited liability, collective, limited partnerships, etc.), commercial contracts (sales, supply, agency/dealership, etc.), negotiable instruments (checks, promissory notes, bills of exchange), the keeping of commercial books, and the resolution of commercial disputes in specialized commercial courts. For matters not regulated by the codes, the relevant articles of the Turkish Civil Code are applied. Commercial Law is also complemented by the Competition Act, numbered 4054 (which prevents monopolization and unfair competition), and in international trade, by the CISG (United Nations Convention on Contracts for the International Sale of Goods) and the INCOTERMS 2020 rules. Merchants are required to register with the trade registry, and commercial disputes are heard exclusively in commercial courts. For every commercial transaction, obtaining accurate legal information is crucial to minimize risks and ensure the secure operation of the business, making it essential to consult with a lawyer specializing in commercial law.
